AnneElise Goetz is a corporate transactional attorney specializing in real estate, finance and health care law. She received the San Diego Business Journal’s “Best of the Bar” in 2015 and the San Diego Daily Transcript’s “Young Attorney” award in both 2011 and 2012.
Ms. Goetz’s practice includes:
Real Estate and Finance
Representing purchasers and sellers in structuring, negotiating and drafting acquisitions and dispositions of multifamily, manufactured housing communities, hotels, restaurants and other commercial projects. Advising clients on lease agreements in connection with commercial, industrial and retail leasing transactions. Representing lenders and borrowers in real estate financing transactions including acquisition, development and construction loans, as well as counseling borrowers in CMBS financing.
Health Care Law
Advising clients on transactions involving medical practice groups and physician-hospital affiliations. Representing both buyers and sellers of health care businesses and professional practice interest. Assisting medical practice groups with their formation and continued governance requirements.
Business and Corporate Law
Serving as outside corporate counsel to small and mid-size market companies representing them in connection with various business transactions including entity selection, mergers and acquisitions, employment matters, buy-sell agreements, corporate governance and general business counseling.
In addition to her traditional legal practice, AnneElise also serves as an on-camera legal expert to national television shows. She regularly appears on HLN where she provides legal commentary on a range of topics, including current cases in the media.
In her free time, AnneElise dedicates her efforts to organizations focused on empowering young women to seek leadership roles in the fields of law, government and business. She is the past Chair of the Leadership Development Committee in Lawyers Club, which works to place women on boards and commissions, to develop their leadership skills and to cultivate future civic leaders. She is also active on various committees in Run Women Run, an organization which works to break down the barriers that prevent women from participating in the political process.
AnneElise also participated in LEAD San Diego’s Impact program, an organization dedicated to educating the leaders of San Diego on the issues and challenges impacting the San Diego region.
Originally from the Midwest, Ms. Goetz attended the University of Wisconsin Madison, where she obtained a Bachelor of Science in Political Science. She received her Juris Doctorate from Case Western Reserve University, School of Law, in Cleveland, Ohio where she was a member of the Niagara Moot Court Team and the recipient of the Saul S. Biskind Fellowship. Prior to joining Higgs Fletcher & Mack, Ms. Goetz practiced corporate and tax law in Chicago, Illinois. She is licensed to practice in law in California and Illinois.
New California Limited Liability Company Act
On January 1, 2014 the California Revised Uniform LLC Act will go into effect and will significantly change the laws on how California LLCs are operated. For example, the Act will limit how an operating agreement can define, alter and eliminate the fiduciary duties of members and managers. In addition, it will restrict how and when an LLC can indemnify its members and managers. It´s important to know that there is no opt in or opt out of this act and it will apply to all LLCs. Now it is time to plan ahead and determine how this Act will impact your business.
